Introduction

These Terms and Conditions ("Terms") govern your access to and use of the website Rewardsx.net and the services offered through it (collectively, the "Service"), operated by RewardsX ("RewardsX," "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Service.

Description of the Service

RewardsX operates a rewards platform through which users earn a virtual currency called "AdBits" by completing sponsored offers, surveys, and tasks made available through our rewards partner. AdBits can be exchanged for in-game or in-experience rewards, as determined and selected by the relevant experience owner (i.e., the game, platform, or service integrating RewardsX).

The specific rewards available to you, and their AdBits cost, depend on the experience through which you are using the Service and are set at the discretion of the corresponding experience owner.

Accounts

To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree not to create or use more than one account. Each user is permitted a single account on the Service.

AdBits: Nature, Use, and Restrictions

Nature of AdBits

• AdBits are a virtual, platform-internal unit with no cash value to standard (B2C) users. AdBits cannot be exchanged for real money, purchased with real money, or transferred between users or accounts.
• AdBits may only be redeemed for in-game or in-experience rewards made available by experience owners.
• Experience owners (B2B partners) that integrate RewardsX into their platform may separately exchange accumulated AdBits for monetary value, subject to a distinct business agreement with RewardsX. This B2B exchange mechanism is not available to standard users of the Service.

Refunds and Adjustments

AdBits may be refunded or reissued where a loss is caused by a verified internal error, technical malfunction, or bug attributable to RewardsX or our service providers. AdBits are not refunded or reissued for losses resulting from user error, including but not limited to redeeming the wrong reward, providing incorrect information to an offer provider, or failing to complete an offer's requirements correctly.

Prohibited Conduct

When using the Service, you agree not to engage in any of the following:

• Using a VPN, proxy, or other means to misrepresent your location or identity.
• Creating or using more than one account.
• Using bots, scripts, automation tools, or any other technical means to interact with the Service or complete offers.
• Engaging in any other form of fraud, manipulation, or abuse of the Service, including fraudulent or falsified offer completions.

Violation of this section may result in the suspension or termination of your account and forfeiture of any accumulated AdBits, at our discretion.

Experience Owners (B2B)

This section applies to businesses, platforms, games, or other services that integrate the Service to offer AdBits-based rewards to their end users ("Experience Owners"). By registering as an Experience Owner, you agree to this section in addition to the other provisions of these Terms.

Becoming an Experience Owner

Registration as an Experience Owner is self-serve and does not require prior approval from RewardsX. By registering, you represent that you have the authority to integrate the Service into your platform and to select and fulfill the in-experience rewards offered to your users.

Responsibilities of Experience Owners

• Selecting and configuring the in-experience rewards made available to your users in exchange for AdBits.
• Fulfilling redeemed rewards to your users in a timely and accurate manner.
• Ensuring your use of the Service, and the rewards you offer, comply with applicable law.
• Absorbing applicable payment processing fees, which you may pass on to your users at your discretion.

AdBits Exchange, Revenue Share, and Payouts

• AdBits accumulated by an Experience Owner may be exchanged for monetary value at a fixed rate set by RewardsX, which may be updated from time to time.
• Revenue share: the Experience Owner receives 70% of the value generated through the AdBits exchange; RewardsX retains the remaining 30% as a platform fee.
• Minimum payout amount: $25.
• Payment terms: Net 45 — payouts are issued automatically via Stripe, with a processing delay of approximately 45 days from the point a payout is initiated.

Suspension and Fraud

RewardsX reserves the right to withhold, delay, or reverse a payout, and to suspend or terminate an Experience Owner's account without notice, where we reasonably suspect fraudulent activity, manipulated AdBits volumes, or a violation of these Terms.

Intellectual Property

All content, features, and functionality available through the Service, including but not limited to text, graphics, logos, icons, software, and the underlying platform, are the exclusive property of RewardsX or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of the Service, nor reverse engineer or attempt to extract the source code of the Service, except as permitted by applicable law.

Suspension and Termination

We may suspend or terminate your account, or the participation of any experience, at our sole discretion and without prior notice, if we determine that these Terms, including the Prohibited Conduct section, have been violated.

Upon termination for cause, any accumulated AdBits associated with the terminated account or experience may be forfeited.

Disclaimers

The Service is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the availability, reliability, or accuracy of the Service, offers made available through our rewards partner, or the timeliness of third-party payment processing.

Limitation of Liability

To the maximum extent permitted by applicable law, RewardsX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of AdBits, revenue, or data, arising out of or related to your use of the Service, including issues originating from third-party offer providers or payment processors.

Changes to These Terms

We may revise these Terms from time to time. Material changes will be indicated by updating the effective date at the top of this document. Continued use of the Service after any such changes constitutes your acceptance of the revised Terms.

Governing Law and Jurisdiction

These Terms are governed by, and construed in accordance with, the laws of the United Kingdom, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
